1.1. SHOPLER LTD (Buechzelglistrasse 23, 5436 Würenlos, Switzerland, hereinafter “SHOPLER”) operates a web-based information platform (hereinafter “SHOPLER-websites”) which provides information about suppliers of various products and services. The information shall enable the user to find suitable suppliers and get access to the supplier’s website. SHOPLER endeavours to provide accurate, up-to-date information in an user-friendly manner.
1.2. SHOPLER acts solely as an intermediary between the user and the supplier. SHOPLER is not party of a potential legal relationship (e.g. sales agreement) between the user and the supplier, even if this legal relationship may result from information on the SHOPLER-websites. SHOPLER is neither an auxiliary person nor a representative of the suppliers and does not form a simple partnership with any supplier. SHOPLER does not offer any products or services to the user (except the compilation and presentation of information on products and services of various suppliers). The information of products and services presented on the SHOPLER-websites may not be considered as promotion thereof. If a user concludes a contract with a supplier (e.g. sale of goods, service agreement), the standard business conditions of the supplier and the law stated therein shall be applicable to such contract. Claims and rights resulting from potential contracts between the user and the supplier cannot be asserted against SHOPLER. In the legal relationship with SHOPLER, the user is not a consumer according to the consumer protection legislation, but the user may be regarded as consumer in the legal relationship with the supplier according to the law applicable to such legal relationship.
1.3 SHOPLER endeavours to quote the actual price to be paid for the depicted products and services. However, certain price elements (e.g. mailing expenses, VAT) may not be quoted by SHOPLER (who is not the supplier) with absolute certainty, since they may vary depending on the product ordered and the order volume. In any case, prices are determined by the supplier’s standard business conditions. Please refer to the binding prices (incl. shipping and other costs) of the respective supplier prior to each purchase order.
1.4. Please note that the SHOPLER-websites may present products and services from suppliers domiciled outside of Switzerland. Consequently, foreign law might be applicable to the legal relationship between the user and the supplier. In addition, the prices of a supplier might be quoted in foreign currency on the SHOPLER-websites; SHOPLER, however, endeavours to accurately convert the prices into British Pounds or Euros. Please note that currency fluctuations may influence the converted prices between your order and the processing of your order. In any case, finally binding is the price quoted by the supplier imminent to the user's purchase order.
1.5 Besides the products and services of the suppliers, SHOPLER-websites also contain ads (banner ads). The content of these banner ads is not created by SHOPLER and is not part of the service of SHOPLER. These banner ads consist of links to websites of third parties, only.
2.1. SHOPLER is not liable for the content (e.g. information and offers) on the SHOPLER-websites or the websites of the suppliers. In particular, SHOPLER may not be held liable for the quality, price, availability etc. of the products and services displayed, for their completeness, validity, correctness or for the fulfilment of a possible contract between the user and the supplier.
2.2. Some links on the SHOPLER-websites direct to websites of third parties on which SHOPLER has no influence. Therefore, SHOPLER may not be held responsible for the correctness, completeness and legality of the content, the products or the services depicted on such websites.
2.3. SHOPLER shall not be responsible for technical interferences occurring while accessing the SHOPLER-websites and links to third parties’ websites.
3.1. 1 SHOPLER owns and retains all proprietary rights of the contents (e.g. illustrations, graphics, sound-files, video-files, texts etc.) on the SHOPLER-websites which were produced by SHOPLER. These contents are protected by intellectual property rights (e.g. copyright etc.). You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without prior written consent of SHOPLER.
3.2. The supplier owns and retains all proprietary rights of the contents, illustrations and trademarks on the SHOPLER-websites which were provided by the supplier. These contents are protected by intellectual property rights of the supplier (e.g. copyright, trademark, etc.). Only the supplier is entitled to grant any rights to use such material. Any alleged violation of copyright has to be claimed directly with the supplier.

5.1. These GTC and all legal relations between the user and SHOPLER shall be governed exclusively by substantive Swiss Law. Exclusive place of jurisdiction is Baden (Switzerland).
